1. PURPOSE OF THE PROGRAM
The Agent Program allows approved individuals to:
- Introduce schools to the Platform
- Assist with onboarding
- Promote subscriptions
- Provide limited support and coordination
- Earn commissions based on successful referrals and renewals
Agents act as independent representatives and not employees of the Company.
2. ELIGIBILITY
To participate, an Agent must:
- Be at least 18 years old
- Provide accurate registration details
- Maintain professional conduct
- Have authority to represent themselves or their organization
The Company reserves the right to approve or reject applications at its discretion.
3. AGENT RESPONSIBILITIES
Agents agree to:
- Represent the Platform honestly and professionally
- Avoid misleading claims or false promises
- Maintain confidentiality of school information
- Assist schools during onboarding where applicable
- Comply with all applicable laws and regulations
- Act in the best interests of the Company and its clients
- Maintain confidentiality of proprietary information
Agents must not:
- Engage in any activity that could harm the Company's reputation
- Impersonate Company staff
- Alter pricing without authorization
- Engage in fraud or deceptive marketing
- Misuse Platform resources
- Harass schools or users
- Engage in any fraudulent or deceptive practices
- Disclose confidential information without permission
- Violate any laws or regulations in the course of their activities
4. COMMISSION STRUCTURE
Agents may earn commissions for:
- New school registrations
- Successful subscriptions
- Subscription renewals
- Approved upsells or services
Commission rates may vary based on:
- Agent level
- Region
- Subscription plan
- Promotional campaigns
5. COMMISSION PAYMENT TERMS
Commissions are paid only for:
- Verified schools
- Successful payments received by the Company
- Eligible transactions not refunded or disputed
- Withdrawal Conditions
Agents may request withdrawals subject to:
- Minimum withdrawal thresholds
- Verification checks
- Approval processes
- Payment Schedule
Payments may be processed:
- Monthly, bi-weekly, or as specified by the Company
- Via bank transfer or other methods
- Subject to applicable taxes and deductions
6. STATE COORDINATORS
State Coordinators may receive additional responsibilities including:
- Supervising regional agents
- Supporting onboarding activities
- Monitoring school engagement
- Coordinating training sessions
- Reporting regional performance
Additional incentives or commissions may apply.
7. TRAINING & SUPPORT
The Company may provide:
- Training materials and sessions
- Product demonstrations
- Marketing resources
- Dedicated support channels
- Regular updates on product features and policies
Agents are responsible for understanding the Platform before promoting it.
8. CONFIDENTIALITY
Agents may have access to confidential information including:
- School data
- Pricing information
- Internal processes
- Marketing strategies
Agents are prohibited from disclosing or misusing confidential information during or after participation in the program.
9. INTELLECTUAL PROPERTY
All Platform branding, software, logos, materials, dashboards, and content remain the exclusive property of Edcon.
Agents may not:
- Rebrand Company materials
- Modify official documents
- Create fake representations of the Platform
- Use Company branding without authorization
10. PROHIBITED ACTIVITIES
Agents must not:
- Create fake school accounts
- Manipulate referrals fraudulently
- Use spam marketing
- Offer unauthorized discounts
- Collect payments privately without approval
- Make legal, financial, or technical guarantees on behalf of the Company
Violations may lead to immediate suspension or termination.
11. ACCOUNT SUSPENSION OR TERMINATION
The Company reserves the right to suspend or terminate Agent accounts for:
- Fraudulent activity
- Abuse of the system
- Misrepresentation
- Violation of these Terms
- Inactivity for extended periods
Terminated Agents may lose unpaid commissions associated with fraudulent or disputed activity.
12. TAX RESPONSIBILITY
Agents are responsible for:
- Declaring income
- Paying taxes
- Complying with local financial regulations
The Company does not withhold taxes unless required by law.
13. INDEPENDENT CONTRACTOR STATUS
Agents are independent contractors and not employees, partners, or legal representatives of the Company.
Nothing in this Agreement creates:
- Employment relationships
- Joint ventures
- Partnerships
- Agency authority beyond the approved program scope
14. LIMITATION OF LIABILITY
The Company shall not be liable for:
- Loss of commissions due to failed payments
- Indirect or consequential damages
- Business losses
- Third-party service interruptions
- Regional market performance
Participation in the Agent Program is at the Agent’s own risk.
15. MODIFICATIONS TO TERMS
We may update these Terms periodically.
Continued participation after updates constitutes acceptance of revised Terms.
16. GOVERNING LAW
These Terms shall be governed by the laws of the jurisdiction in which the Company is incorporated and operates. Disputes shall be resolved under the jurisdiction of competent courts within that region.
